1. Scope of Services
1.1. Colart agrees to provide graphic design, social media content creation, digital distribution, and full social-media page management services as outlined in the signed proposal or agreement.
1.2. Additional services not specified in the agreement may incur additional fees and may require a separate agreement.
2. Client Responsibilities
2.1. The Client must supply all necessary materials, content, brand assets, feedback, and approvals in a timely manner.
2.2. The Client is responsible for securing rights or permissions for any third-party materials they provide.
2.3. For ongoing social-media management, the Client agrees to the posting schedule and to cooperate with content submission, review, and scheduling requirements.
3. Payment Terms
3.1. Unless otherwise agreed, Colart requires a 50% deposit before work begins, with the balance due upon completion or agreed milestones.
3.2. Payments are non-refundable unless explicitly agreed in writing.
3.3. Late payments may incur a penalty of 25% of the outstanding balance per calendar month.
3.4. Clients may pay via bank transfer or Whish Money as agreed.
4. Intellectual Property Rights
4.1. Colart retains ownership of templates, design systems, drafts, and design assets created during the service.
4.2. The Client receives a non-exclusive, non-transferable licence to use final approved designs for the agreed purposes upon full payment.
4.3. Reuse, resale, modification, or use beyond the agreed scope requires prior written approval and may incur additional fees.
4.4. Colart retains the right to feature completed work in its portfolio and marketing unless the Client requests otherwise in writing.
4.5. Concepts, drafts, unused alternatives, or design explorations remain Colart’s property unless otherwise agreed in writing.
5. Revisions and Approvals
5.1. Each project includes up to 10 rounds of revisions unless otherwise agreed.
5.2. The Client must review and approve deliverables within the agreed timeframe. Delays may affect delivery dates and incur extra charges.
5.3. Once final approval is given in writing, further changes are no longer included in the approved revision rounds.
6. Confidentiality
6.1. Colart agrees to keep Client-provided materials and project details confidential except where required by law.
6.2. The Client agrees not to disclose Colart’s proprietary processes, pricing, internal tools, or trade secrets without written consent.
7. Termination
7.1. Either party may terminate the agreement with written notice if the other party materially breaches these Terms and fails to cure the breach within 14 calendar days.
7.2. Upon termination by the Client for reasons other than Colart’s breach, the Client remains liable for work completed up to termination.
7.3. Upon termination by Colart other than for Client breach, Colart refunds any unearned portion of prepaid fees minus reasonable costs incurred.
8. Governing Law
8.1. These Terms are governed by the laws of the Republic of Lebanon.
8.2. Disputes are submitted to the competent courts of Tripoli, Lebanon, unless otherwise agreed in writing.
9. Amendments
9.1. Colart reserves the right to amend these Terms of Service at any time and will notify clients of significant changes.
9.2. Continued use of Colart’s services after notification constitutes acceptance of amended terms.
10. Acceptance of Terms
10.1. By engaging Colart’s services, the Client acknowledges that they have read, understood, and accepted these Terms of Service.
